Terms of Service

These terms govern your use of this website, your purchase of ClearPath Content digital products through Gumroad, and any consulting engagement with ClearPath Content LLC. The most important thing to understand before reading: we are not a law firm, we do not perform audits, and we do not guarantee outcomes. Read Section 1 first.

ClearPath Content

Effective date: September 9, 2026

These Terms of Service (the “Terms”) govern your use of https://www.clearpathcontent.net/ (the “Site”), your purchase and use of ClearPath’s downloadable digital products, such as guides, checklists, and document templates (the “Products”), and, except where a signed agreement says otherwise, ClearPath’s consulting services.

“ClearPath,” “we,” and “us” mean ClearPath Content LLC, a Texas limited liability company, operating from Texas, United States. “You” means the person or company using the Site, buying Products, or engaging our services.

How these Terms are accepted. For Product purchases, you accept these Terms by completing a purchase of a ClearPath Product on Gumroad; each product page links to these Terms, and the license in Section 3.6 is summarized there. For consulting, each proposal, statement of work, or engagement letter incorporates these Terms, and you accept them by signing or confirming that document in writing. Using the Site itself binds you to the provisions governing the Site (Sections 7, 8, 9, 11, and 12). If you accept on behalf of a company, you represent that you have authority to bind it. Our Privacy Policy, available on the Site, describes how we handle personal information.

1. What ClearPath is, and what it is not

ClearPath publishes and sells digital Products (guides, checklists, and document templates) and provides compliance and cybersecurity documentation consulting. Please read the following carefully, because it frames everything else in these Terms:

·        We are not a law firm and do not provide legal advice. Our deliverables and Products are informational and operational tools. For legal questions, consult a licensed attorney.

·        We are not a CPA firm, and we do not perform audits. SOC 2 is an attestation examination performed by an independent service auditor (a licensed CPA practice) that results in a service auditor’s report. It is not a certification, and ClearPath does not conduct any part of the examination, issue reports, or have any arrangements with any audit firm. Our role is limited to readiness and advisory work: helping you prepare documentation before you engage your own auditor.

·        We do not guarantee outcomes. No deliverable or Product guarantees that you will pass a SOC 2 examination, satisfy a customer’s due diligence review, achieve ISO 27001 certification, win a contract, obtain financing or investment, or meet any legal or regulatory requirement. Those outcomes depend on your implementation, your operations, and the independent judgment of auditors and counterparties.

·        Documents are not compliance. Purchasing a Product or receiving a deliverable does not mean you have implemented the controls it describes. You may not represent to any auditor, customer, or authority that a document by itself demonstrates compliance, or that ClearPath has “certified” you.

2. Your responsibilities

For any engagement or Product use, and to the extent applicable to the Product you purchased (the items below are written for compliance and organizational materials), you (the client or buyer) are responsible for:

·        providing accurate and complete information about your organization;

·        reviewing, adapting, and formally approving all documents before adopting them;

·        actually implementing, operating, and maintaining the controls and practices your documents describe;

·        making truthful representations to your auditors, customers, and regulators; and

·        keeping the evidence needed to support your compliance program.

ClearPath’s work product depends on what you tell us. We are not responsible for errors or omissions that result from inaccurate, incomplete, or outdated information you provide.

3. Product purchases

3.1 Seller of record. Products are sold through Gumroad, Inc. (“Gumroad”), a third-party platform that acts as merchant of record and is the legal seller of the Products. Purchases are made on Gumroad’s website, not on the Site; ClearPath does not operate a checkout or customer accounts on the Site. Gumroad’s terms of service (https://gumroad.com/terms) govern the sales transaction: payment, applicable sales tax, VAT, or GST, invoicing, chargebacks, refund processing, and any consumer remedies the law makes mandatory. These Terms govern the license to the Products and your relationship with ClearPath. If Gumroad’s terms and these Terms conflict regarding the sales transaction, Gumroad’s terms control; regarding the license and use of the Products, these Terms control.

3.2 Who may purchase. Products are intended for business and professional use, and compliance-related Products are intended for use by organizations preparing their own documentation. Individuals may purchase Products for their own use. You must be at least 18 years old and have legal capacity to contract, or purchase on behalf of an organization you are authorized to bind. If you are a consumer in the European Union or the United Kingdom, you may cancel a Product purchase within 14 days of the purchase date for a full refund by emailing Contact@clearpathcontent.net; ClearPath honors this right regardless of who processed your payment. If applicable law treats you as a consumer, nothing in these Terms deprives you of rights that law does not allow you to waive.

3.3 Delivery. Products are delivered electronically by Gumroad. Delivery occurs when a working download link or access through your Gumroad library is made available to you, normally immediately after payment. If you cannot access or download your purchase, contact Contact@clearpathcontent.net and we will work with Gumroad to restore your access or arrange re-delivery.

3.4 What is included. Unless the product page says otherwise, a Product purchase is a one-time download of the files described on the product page, as they exist at the time of purchase. It does not include updates, support, customization, or consulting. Frameworks and regulations change; you are responsible for keeping your adopted documents current.

3.5 Refunds. Because Products are digital products delivered immediately, our voluntary refund policy is that sales are final once the Product has been delivered, with this exception: if a Product is defective, cannot be accessed or downloaded, or is materially different from its description on the product page, tell us within 14 days of purchase at Contact@clearpathcontent.net. We will first correct the problem by replacing the files or restoring access; if we cannot do so promptly, we will issue a refund through Gumroad. Gumroad, as merchant of record, handles refund requests and chargebacks under its own terms and may grant a refund that this policy does not require. This voluntary policy does not limit any conformity remedy, refund right, or limitation period that applicable law grants you and does not allow to be waived; any such mandatory remedies are administered as described in Gumroad’s terms and applicable law.

3.6 License. On full payment, ClearPath grants you, or if you purchase on behalf of an organization, that organization (in either case, the “purchaser”), a non-exclusive, non-transferable license to use the purchased Products, and to modify and reproduce any Product that is a template, for the purchaser’s own personal or internal business purposes. The license is perpetual, conditioned on compliance with this Section 3.6.

Authorized Users. If the purchaser is an organization, the license covers its employees and its engaged contractors working on its behalf (the “Authorized Users”), on a need-to-know basis, provided they are bound by confidentiality or use restrictions at least as protective as this Section. The purchaser is responsible for its Authorized Users, and contractors must return or delete Product source files when their engagement with the purchaser ends.

Permitted disclosure of completed documents. The purchaser may provide its completed, organization-specific documents based on the Products (for example, its adopted policies, control narratives, or questionnaire responses) to its auditors, customers, prospective customers, regulators, certification bodies, insurers, and professional advisers for the purchaser’s own compliance and due diligence purposes.

Prohibited. Except as expressly permitted above, you may not:

·        resell, sublicense, rent, share, publish, or distribute the Products, blank or substantially unmodified copies of them, or reusable derivative templates, to any third party;

·        post the Products publicly or contribute them to any shared or open repository;

·        use the Products to build, train, or improve a competing product or service, including a competing template library or an AI model offered to others;

·        remove proprietary notices; or

·        represent that possession of a Product constitutes compliance with any framework (see Section 1).

Breach. If the purchaser materially breaches this Section, ClearPath may give written notice; if a curable breach is not cured within 30 days, or immediately in the case of deliberate resale or public distribution, ClearPath may terminate the license, in which case the purchaser must stop using and delete the Product source files (completed, adopted organizational or personal documents already in use are not affected). Termination does not limit ClearPath’s other remedies.

Multi-client use. A consultant or agency wishing to use Products across multiple client organizations needs a separate license; contact us.

3.7 Third-party frameworks. Products may reference industry frameworks (for example, SOC 2, the AICPA Trust Services Criteria, ISO/IEC standards, SIG, or CAIQ) by name, clause, or criterion number for identification purposes. All third-party frameworks, standards, and related trademarks (including “SOC 2,” an AICPA mark, and ISO marks) remain the property of their respective owners, and nothing in these Terms grants you any right to third-party content beyond what its owner permits. ClearPath is not affiliated with, sponsored by, or endorsed by the AICPA, ISO, Shared Assessments, the Cloud Security Alliance, or any framework publisher.

4. Consulting services

4.1 Engagement documents. Consulting work is defined in a proposal, statement of work, or engagement letter (an “SOW”) agreed in writing (email suffices). Each SOW incorporates these Terms. If an SOW conflicts with these Terms, the SOW controls for that engagement.

4.2 Scope of work. Our engagements are documentation-based: you send us materials, and we review, draft, and advise. We do not access, connect to, scan, or test your systems. Nothing in any engagement authorizes ClearPath to perform technical security testing, and no deliverable should be read as a technical assessment of your environment.

4.3 Fees and payment. Unless the SOW says otherwise: a deposit stated in the SOW is due before work begins; the balance is invoiced on delivery of final deliverables and is payable within 15 days of the invoice; final deliverables are released on full payment; and overdue amounts may accrue a late charge of 1.5% per month or the maximum rate permitted by law, whichever is lower. Late charges do not accrue on amounts disputed in good faith while the dispute is being resolved, provided you notify us of the dispute before the due date and pay the undisputed portion. Fees are exclusive of any applicable taxes, which are your responsibility. We may suspend work on overdue accounts.

4.4 Client delays. Timelines assume timely client input. If you delay providing materials, feedback, or approvals, deadlines extend accordingly, and engagements inactive for more than 60 days due to client delay may be closed with work to date invoiced.

4.5 Personnel and tools. ClearPath may use qualified subcontractors, bound by written confidentiality obligations at least as protective as Section 5, and remains responsible for their work. ClearPath uses AI-assisted drafting tools in its work only through business accounts configured so that the tool provider is not permitted to use client materials to train its models.

4.6 Standard of care. ClearPath will perform consulting services with reasonable professional skill and care and in accordance with the applicable SOW. If a deliverable does not meet this standard, tell us within 30 days of delivery, and we will re-perform or correct the affected work at no charge; this is your primary remedy for defective services, without limiting Section 9. ClearPath does not warrant outcomes (Section 1).

4.7 Ownership of deliverables. Upon full payment, custom deliverables created specifically for you under an SOW are assigned to you. ClearPath retains ownership of its pre-existing materials, templates, know-how, and general skills and methods, and grants you a license to use any of them embedded in your deliverables for your internal business purposes. ClearPath remains free to perform similar services for others.

5. Confidentiality

5.1 Definition. “Confidential Information” means non-public information disclosed by one party to the other in connection with an engagement that is marked confidential or that a reasonable person would understand to be confidential, including client security documentation, business plans, and pricing. It does not include information that: (a) is or becomes public through no fault of the recipient; (b) the recipient already lawfully knew without confidentiality obligations; (c) the recipient independently develops without using the discloser’s information; or (d) the recipient rightfully receives from a third party without a duty of confidentiality.

5.2 Obligations. Each party will protect the other’s Confidential Information with at least reasonable care, use it only for the engagement, and disclose it only to its personnel, subcontractors, and professional advisers who need it and are bound by confidentiality obligations at least as protective as this Section. If disclosure is compelled by law, the recipient will (where lawful) give the discloser prompt notice and reasonable cooperation to seek protective treatment, and will disclose only what is required.

5.3 Return and destruction. At the close of an engagement, ClearPath will securely destroy the client materials in its possession (or return them, at the client’s choice) and provide written confirmation, retaining only the final deliverables, the engagement contract, invoices, and records ClearPath must keep for legal, tax, or accounting purposes. Residual copies in routine system backups are deleted in the ordinary course of backup rotation and remain protected by this Section until deleted.

5.4 Duration. Confidentiality obligations last for 5 years after the engagement ends, except for trade secrets, which remain protected as long as they qualify as trade secrets, and personal data, which is handled per Section 5.6.

5.5 Client identity. Client identities are confidential by default. ClearPath will not name you as a client, or describe your project publicly, without your prior written approval.

5.6 Personal data. Engagements are scoped to corporate documentation, and clients should not send ClearPath personal data about their employees or customers beyond ordinary business-contact information. If an engagement requires ClearPath to process personal data on a client’s documented instructions, the parties will execute a data processing agreement before any such data is transferred, and that agreement will control for that data. If ClearPath receives unexpected personal or sensitive data, it will notify the client and, at the client’s choice, securely delete or return it.

5.7 Precedence. If the parties sign a separate NDA or DPA with more protective terms, the more protective terms control.

6. Export control and sanctions

You may not purchase Products or engage our services in any transaction prohibited by applicable U.S. sanctions or export-control laws. This includes transactions involving persons located in, organized under the laws of, or ordinarily resident in countries or regions subject to comprehensive U.S. sanctions (as of the effective date, including Cuba, Iran, North Korea, and the Crimea, Donetsk, and Luhansk regions of Ukraine; the current list is maintained by the U.S. Treasury’s Office of Foreign Assets Control and is checked at the time of each transaction), and transactions involving persons on U.S. government restricted-party lists, to the extent the applicable list prohibits the dealing in question. You represent that none of these apply to you or to anyone on whose behalf you act. Gumroad screens transactions at checkout; we may also review completed purchases and engagement requests and, where lawful, cancel, revoke the license, and refund any transaction we cannot lawfully fulfill.

7. Acceptable use of the Site

You agree not to misuse the Site: no unauthorized access attempts, scraping at scale, interference with operation, or unlawful content in submissions. Site content (text, branding, product descriptions) is ClearPath’s property and may not be reproduced without permission.

8. Disclaimers

Except where applicable consumer-protection law grants you non-waivable statutory rights, the Site and the Products are provided “as is” and “as available.” To the maximum extent permitted by law, ClearPath disclaims all warranties regarding the Site and the Products, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and any warranty that any Product will satisfy any auditor, customer, regulator, framework, or law. Your remedies for a defective Product are stated in Section 3.5.

Consulting services are not provided “as is”: ClearPath commits to the standard of care in Section 4.6. Beyond that express commitment, ClearPath disclaims, to the maximum extent permitted by law, all other warranties regarding the services, including any warranty of particular outcomes (Section 1).

Nothing in this Section excludes warranties or remedies that applicable law does not allow to be excluded.

9. Limitation of liability

To the maximum extent permitted by law:

9.1 Excluded damages. Neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost business, or loss of data, even if advised of the possibility. This exclusion does not apply to: a party’s breach of Section 5 (Confidentiality); the purchaser’s breach of Section 3.6 (License); or amounts payable under Section 10 (Indemnity).

9.2 Cap. ClearPath’s total aggregate liability arising out of or relating to a Product purchase is limited to the amount paid for that Product. ClearPath’s total aggregate liability arising out of or relating to a consulting engagement is limited to the fees paid or payable under the SOW giving rise to the claim.

9.3 Exceptions. Nothing in these Terms limits or excludes liability for fraud, willful misconduct, gross negligence, or any liability that applicable law does not permit to be limited or excluded. The cap in 9.2 does not apply to your payment obligations.

9.4 Basis of the bargain. You acknowledge that the fees charged reflect this allocation of risk and that ClearPath would not offer the Products and services at these prices without it.

10. Indemnity

You will defend and indemnify ClearPath against third-party claims to the extent caused by: (a) false or misleading representations you make to auditors, customers, or authorities about your compliance posture; (b) your use of Products or deliverables in violation of these Terms or applicable law; or (c) materials you provide to us that infringe third-party rights or that you had no right to provide.

Indemnity procedure: ClearPath will give you prompt written notice of the claim, allow you to control the defense with counsel reasonably acceptable to ClearPath, and provide reasonable cooperation at your expense. You will not settle a claim in a way that admits fault by, or imposes non-monetary obligations on, ClearPath without its consent, not unreasonably withheld. Where a claim arises from the combined fault of both parties, liability is allocated in proportion to fault.

11. Governing law and disputes

These Terms and any dispute arising out of them are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas. Before filing suit, the parties will first attempt in good faith to resolve any dispute through direct negotiation for 30 days after written notice. Nothing prevents either party from seeking injunctive relief for breach of Section 5 or Section 3.6 in any court of competent jurisdiction.

WAIVER OF JURY TRIAL. TO THE EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ITS RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS, THE PRODUCTS, THE CONSULTING SERVICES, OR THE SITE. THIS WAIVER IS MUTUAL AND APPLIES TO BOTH PARTIES.

If you are a consumer in a jurisdiction whose law grants you mandatory rights or a mandatory forum, nothing in this section deprives you of them.

12. General

·        Order of precedence. For consulting: signed SOW, then any signed NDA or DPA, then these Terms. For Product purchases: Gumroad’s terms govern the sales transaction as described in Section 3.1; these Terms govern the license and everything else.

·        Changes. We may update these Terms; the version you accepted governs purchases already made, and the posted version governs new purchases and Site use. Material changes to ongoing engagements require agreement.

·        Assignment. You may not assign these Terms without our consent, except to a successor to substantially all of your business or assets, with written notice to us; a permitted successor assignment includes the Product license, which remains subject to Section 3.6. We may assign to a successor of ours.

·        Severability; waiver. If a clause is unenforceable, the rest remains in effect. Failure to enforce a clause is not a waiver.

·        Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, provided the affected party gives prompt notice and uses reasonable efforts to mitigate. Force majeure does not excuse payment obligations already due. If a force majeure event continues for more than 60 days, either party may terminate the affected engagement, with work performed to date invoiced.

·        Survival. Sections 1, 2, 3.1, 3.6, 3.7, 4.7, 5, 6, 7, and 8 through 12 survive termination.

·        Entire agreement. These Terms, plus any SOW, NDA, or DPA, and, for Product purchases, Gumroad’s terms governing the sales transaction as described in Section 3.1, are the entire agreement on their subject matter.
